1. Scope and provider
1.1 These terms govern all contracts for the use of the software-as-a-service platform Pontiq between [FIRMA EINTRAGEN], [STRASSE + HAUSNUMMER EINTRAGEN], [PLZ EINTRAGEN] [ORT EINTRAGEN] ("Provider") and its customers.
1.2 The offer is aimed exclusively at businesses within the meaning of sec. 14 of the German Civil Code (BGB), in particular dental laboratories. Contracts with consumers are excluded.
1.3 Deviating terms of the customer do not apply unless the Provider expressly agrees to them in writing.
2. Subject of the contract
2.1 The Provider makes the platform available as a web-based application. It serves in particular to collect incoming digital cases from intraoral scanner clouds, manage orders, plan production, display 3D scan data, generate documents and provide optional AI-assisted features.
2.2 The current scope of features follows from the description of the selected plan on the pricing page. Free plans may be limited in scope.
3. Conclusion of contract
The contract is concluded upon registration by the customer and activation of the account. The customer warrants that the registration data is accurate and that they act as a business.
4. Plans, prices and payment
4.1 The prices shown on the pricing page at the time of ordering apply, plus applicable statutory VAT.
4.2 Paid plans are billed monthly or yearly. With yearly billing the price equals ten monthly instalments.
4.3 Cases beyond the monthly quota are only billed if the customer has actively enabled overage billing. Overage prices per case follow from the pricing page.
4.4 Add-ons (e.g. additional users, AI packs, extended archiving) can be added and cancelled monthly.
4.5 The Provider may adjust prices with at least six weeks' notice to the next billing period. In the event of a price increase the customer has a special right of termination.
5. Term and termination
5.1 Monthly plans run indefinitely and can be terminated by either party at any time effective at the end of the current billing month. There is no minimum term.
5.2 Yearly plans renew for a further year unless terminated with one month's notice to the end of the term.
5.3 Termination can be declared in the account settings or in text form. The right to extraordinary termination for good cause remains unaffected.
5.4 After the contract ends, the account is downgraded to the Free plan or deleted at the customer's request. Section 9 (data export) remains unaffected.
6. Availability
The Provider aims for 99% availability as an annual average, excluding announced maintenance windows and disruptions outside the Provider's control. The Provider may further develop the platform as long as the essential contractual features are retained.
7. Customer obligations
The customer keeps credentials confidential, ensures only authorized persons access the account and is responsible for the lawfulness of the content processed, in particular patient-related data, including concluding the data processing agreement (section 10). Abusive use of the platform is prohibited.
8. AI features
AI-generated results (e.g. case summaries, extraction of material and shade, template suggestions, voice feature) are machine assistance. The customer reviews results before use; professional responsibility for dental decisions remains with the customer.
9. Data, retention and export
9.1 Orders, order data and generated documents are not deleted for the duration of the contract — regardless of the plan.
9.2 Plan-dependent retention periods apply to large raw scan files (e.g. STL/PLY). After expiry, only those files are removed; the associated order data remains.
9.3 The customer can export their data in common formats during the contract term. After termination the Provider makes an export available within 30 days upon request.
10. Data protection and processing agreement
The Provider processes personal data in accordance with the privacy policy. Where the customer processes third-party personal data (in particular patient data) via the platform, the parties conclude a data processing agreement pursuant to Art. 28 GDPR. Hosting and processing take place in data centers within the European Union.
11. Warranty and liability
11.1 For free services the Provider is liable only for intent and gross negligence.
11.2 For paid services the Provider is liable without limitation for intent, gross negligence and injury to life, body or health. For simple negligence the Provider is liable only for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract and capped at the fees paid by the customer in the last twelve months.
11.3 Liability under the German Product Liability Act remains unaffected. Strict liability for initial defects pursuant to sec. 536a (1) BGB is excluded.
12. Confidentiality
Both parties treat confidential information of the other party confidentially and use it only to perform the contract. This obligation survives termination for three years.
13. Changes to these terms
The Provider may amend these terms with future effect where required by changes in law, case law or platform development, provided the customer is not unreasonably disadvantaged. Changes are announced at least six weeks before taking effect; absent objection within that period they are deemed approved, which will be pointed out in the announcement.
14. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Exclusive place of jurisdiction is the Provider's registered office where the customer is a merchant. Should individual provisions be invalid, the remaining provisions remain unaffected.
